Terms of Service

Welcome to Voice of Reason LLC ("VoR," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, applications, APIs, tools, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Overview of the Services

Voice of Reason provides Verification Intelligence services that organize, relate, and present records and operational data alongside applicable policies, rules, or requirements.

The Services are designed to support internal understanding, review, and decision-making by presenting structured representations of information derived from available inputs. Outputs may include indications of alignment, correspondence, or divergence between observed records and referenced standards.

The Services are provided for informational and advisory purposes only.

VoR does not provide legal advice, make determinations, assign fault, certify compliance, or replace professional judgment. Users remain solely responsible for how outputs are interpreted and applied.

2. Eligibility

You may use the Services only if you:

• Are at least eighteen (18) years old
• Have authority to enter into these Terms on behalf of yourself or an organization
• Use the Services in compliance with applicable laws and regulations
• Are not accessing the Services on behalf of a competing product or service

3. License and Acceptable Use

VoR grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for internal business, research, educational, or operational purposes.

You agree not to:

• Copy, extract, scrape, reverse-engineer, decompile, or disassemble any portion of the Services
• Use the Services to develop, train, benchmark, or validate competing technologies
• Sell, sublicense, redistribute, or publicly display VoR materials without written authorization
• Present outputs as legally binding findings, certifications, or determinations
• Use the Services in a manner that violates applicable law or the rights of others
• Attempt unauthorized access to systems, infrastructure, or data

VoR may suspend or terminate access for violations of these Terms.

4. Intellectual Property

All intellectual property related to the Services, including software, models, designs, content, documentation, trademarks, and related materials ("VoR IP"), is owned by Voice of Reason LLC or its licensors.

You acknowledge that:

• VoR IP is protected by intellectual property and trade secret laws
• No ownership rights are transferred to you
• Feedback or suggestions you provide may be used by VoR without obligation or compensation

5. Data Usage and Privacy

Your use of the Services is governed by our Privacy Policy.

VoR may collect and process:

• Data submitted to the Services by users or organizations
• System interaction and usage information
• Metadata necessary to operate, secure, and maintain the Services

VoR does not sell personal data.

VoR may disclose information when required by law or in response to valid legal or regulatory requests.

6. Accuracy and Disclaimers

The Services rely on structured processing of available inputs and references. While VoR seeks to present information accurately, we do not guarantee:

• Completeness, timeliness, or applicability of outputs
• Continuous availability or error-free operation
• Any specific legal, regulatory, operational, or compliance outcome

All outputs are advisory in nature. Decisions and actions taken based on the Services are the responsibility of the user.

Use of the Services is at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law:

Voice of Reason LLC is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business interruption, personal injury, property damage, or third-party claims arising from use of the Services.

Total liability for any claim shall not exceed the greater of:

• Five hundred U.S. dollars (USD 500), or
• The amount paid to VoR in the twelve (12) months preceding the claim

This limitation applies regardless of foreseeability.

8. Indemnification

You agree to indemnify and hold harmless VoR and its officers, employees, contractors, and agents from claims, losses, or expenses arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of applicable law or third-party rights

9. Modifications

VoR may modify the Services or these Terms at any time. Changes take effect upon posting. Continued use of the Services constitutes acceptance of the updated Terms.

10. Termination

VoR may suspend or terminate access if you violate these Terms or engage in conduct that harms VoR, other users, partners, or the public.

Upon termination:

• All licenses granted to you immediately end
• You must cease use of the Services and VoR materials
• Sections concerning intellectual property, disclaimers, liability, indemnification, and dispute resolution survive

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas.

Disputes will be resolved through:

• Informal negotiation
• If unresolved, binding arbitration in Travis County, Texas under the rules of the American Arbitration Association

Arbitration will be conducted on an individual basis. Class actions are not permitted.

12. Miscellaneous

Entire Agreement

These Terms constitute the complete agreement between you and VoR regarding the Services.

Waiver

Failure to enforce any provision does not waive future enforcement.

Severability

If any provision is unenforceable, the remaining provisions remain in effect.

Assignment

You may not assign these Terms without VoR's prior written consent.
